Our policies and terms for using Kuzapay services

KUZAPAY TERMS AND CONDITIONS

Welcome to Kuzapay. We are dedicated to simplifying digital payment and finance workflows for individuals, businesses, and organizations. By accessing or using our services, you (the "User") agree to be bound by the following terms and conditions. Please read them carefully to understand your rights and obligations.

1. The Nature of Our Service

Kuzapay is a payment aggregator and facilitator. We provide shareable checkout links to assist you in receiving funds via M-Pesa.

  • Non-Custodial: We are a pass-through service. We do not hold your funds as a bank or a deposit-taking institution.
  • Facilitation: We act as the technical layer between the Payer and the Recipient.

2. Fees and Charges

To keep our platform sustainable and fair, we apply a transparent "Hybrid Fee" model.

  • The Formula: Every transaction is subject to a fee of KSh 10.00 (Flat) + 2% (Commission) of the gross amount.
  • What this covers: This fee covers Safaricom's network disbursement costs (which we pay on your behalf), our secure server infrastructure, and platform maintenance.
  • Deduction: Our fees are automatically deducted from the total aggregated amount before the final disbursement is sent to your M-Pesa account.

3. Disbursement and Payouts

  • Security Buffer: To protect against fraud and ensure payment stability, Kuzapay maintains a 24-hour verification window. Funds collected via your link will be disbursed to your registered M-Pesa number after this window clears.
  • Network Costs: We foot the M-Pesa transaction fee for you out of our collected fee. The amount you see in your "Net Payout" estimate is exactly what will hit your phone.
  • Minimum Payout: To ensure transaction efficiency, the minimum amount for an automated payout is KSh 150.00.

4. User Obligations (KYC)

As a locally compliant Kenyan entity, we are required by law to know our customers.

  • Identification: You must provide a valid National ID (for individuals), Business Registration/KRA PIN (for businesses), or Registration Certificate (for organizations) to use Kuzapay.
  • Accuracy: You are responsible for ensuring your M-Pesa number is correct. Kuzapay is not liable for funds sent to an incorrect number provided by the User.

5. Payment Finality and Reversals

  • Irreversibility: Kuzapay is a pass-through technical facilitator. Once a disbursement has been successfully processed to the M-Pesa number or Paybill provided by the User, the transaction is considered final and irreversible by Kuzapay.
  • User Responsibility: The User is solely responsible for verifying the accuracy of all destination details. Kuzapay shall not be liable for funds sent to incorrect accounts due to User error.
  • Safaricom Reversals: Any requests for reversals due to erroneous transactions must be initiated by the User through Safaricom's official channels.

6. Fraud and AML Compliance

  • Right to Freeze: Kuzapay reserves the right to immediately suspend any account, link, or disbursement without prior notice if we detect suspicious activity, potential money laundering, or any violation of the Proceeds of Crime and Anti-Money Laundering Act (POCAMLA).
  • Regulatory Reporting: In compliance with Kenyan law, Kuzapay may report suspicious transactions to the Financial Reporting Centre (FRC) or other relevant authorities without notifying the User.

7. Data Privacy & Rights

We respect your privacy. Your data is handled in accordance with the Kenya Data Protection Act (2019).

  • Security: We encrypt your personal information using industry-standard AES-256 encryption.
  • User Rights: You have the right to access, rectify, or request the deletion of your personal data. All inquiries should be directed to our Data Protection Officer.

8. Limitation of Liability & Force Majeure

Kuzapay provides the platform on an "as-is" basis. We are not liable for:

  • Interruptions in the M-Pesa network or Safaricom Daraja API.
  • Failures caused by circumstances beyond our reasonable control, including internet shutdowns, regulatory changes, national emergencies, or acts of God.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the Laws of the Republic of Kenya.
  • Arbitration: Any dispute, controversy, or claim arising out of or in connection to this contract shall be settled by arbitration in accordance with the Nairobi Centre for International Arbitration (NCIA) Rules. The seat of arbitration shall be Nairobi, Kenya.

10. Changes to Terms

We as Kuzapay reserve the right to update these terms to reflect changes in the law or our service tiers. We will notify you of any significant changes via the email or phone number provided during registration.
